Welcome to Liquid NFT Marketplace (the "Platform"), an online marketplace for the creation, sale, purchase, and trading of non-fungible tokens (NFTs). By accessing or using our Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, you may not use the Platform.
1. Acceptance of Terms
By accessing or using the Platform, you confirm that you are at least 18 years of age and have the legal capacity to enter into these Terms. The Platform is intended for users who are 18 years or older, and it is your sole responsibility to ensure compliance with this age requirement. We do not knowingly permit users under 18 to access or use the Platform.
2. User Accounts
- Registration: To use certain features of the Platform, you must create an account and provide accurate, complete, and up-to-date information.
- Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.
- Account Termination: We reserve the right to suspend or terminate your account at our discretion, including for violations of these Terms.
3. Content Standards
Prohibited Content: You may not create, upload, list, or share any NFTs or content that is:
- Vulgar or obscene.
- Infringing on intellectual property rights, including copyrights, trademarks, or patents.
- Illegal, fraudulent, defamatory, or harmful.
- In violation of any applicable laws or regulations.
Content Removal: We reserve the right to remove any content, including NFTs, that violates these Terms or is deemed inappropriate at our sole discretion without prior notice.
User Responsibility: You are solely responsible for the content you create, upload, or share on the Platform, including ensuring it complies with these Terms and all applicable laws.
4. NFT Transactions
- Ownership and Licensing: When you purchase an NFT, you acquire ownership of the digital token, not the underlying artwork or intellectual property, unless explicitly stated by the creator. The creator retains all intellectual property rights unless a separate agreement specifies otherwise.
- Fees: You are responsible for any transaction fees, including blockchain gas fees, associated with buying, selling, or trading NFTs on the Platform.
- No Guarantees: We do not guarantee the authenticity, uniqueness, or value of any NFT listed on the Platform. Buyers are responsible for conducting due diligence before making a purchase.
5. User Conduct
You agree to use the Platform in a manner that is lawful, ethical, and in accordance with these Terms. Prohibited activities include, but are not limited to:
- Engaging in fraudulent or deceptive practices.
- Attempting to hack, disrupt, or interfere with the Platform’s functionality.
- Using the Platform to promote or distribute illegal or harmful content.
6. Intellectual Property
- Platform Content: All content provided by the Platform, including text, logos, and design, is owned by Liquid NFT Marketplace or its licensors and is protected by intellectual property laws.
- User-Generated Content: By uploading content to the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely for the purpose of operating and promoting the Platform.
7. Age and User Responsibility
The Platform is strictly for users aged 18 and older. By using the Platform, you represent and warrant that you are at least 18 years of age. You are solely responsible for verifying your eligibility to use the Platform and for ensuring that your use complies with all applicable local, state, national, and international laws.
8. Content Moderation
We actively monitor the Platform for content that violates these Terms. Any content deemed vulgar, obscene, or otherwise inappropriate will be removed at our sole discretion. We may suspend or terminate accounts associated with prohibited content without notice.
9. Limitation of Liability
To the fullest extent permitted by law, Liquid NFT Marketplace and its affiliates, officers, employees, and agents are not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to losses from NFT transactions, content disputes, or Platform downtime.
10. Indemnification
You agree to indemnify and hold harmless Liquid NFT Marketplace and its affiliates from any claims, losses, or damages, including legal fees, arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
We may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice, including for violations of these Terms. Upon termination, your right to use the Platform will cease immediately.
12. Governing Law
These Terms are governed by the laws of Costa Rica, a country within North America, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Platform will be resolved in the courts of Costa Rica, with appeals going to the Costa Rica Court system, and ultimately to the Supreme Court of Costa Rica.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
